Welcome to Nohoru! These Terms and Conditions govern your use of our outdoor advertising production services and website. By engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
In these Terms and Conditions, unless the context otherwise requires:
Nohoru specializes in the production of outdoor advertising materials including but not limited to billboards, banners, signage, vehicle wraps, and illuminated displays. Each project commences upon written agreement between the Company and the Client, specifying deliverables, timelines, and costs.
All quotations provided by Nohoru are valid for thirty (30) days from the date of issue unless otherwise stated. Prices are subject to change based on material costs, project scope modifications, or unforeseen circumstances. Final pricing will be confirmed in writing before project commencement.
We strive to meet all agreed-upon deadlines; however, timelines are estimates and may be affected by factors including material availability, weather conditions, permit approvals, and Client-requested changes. Nohoru will communicate any anticipated delays promptly.
Clients must provide accurate, complete information and all necessary materials (logos, images, text, brand guidelines) in appropriate formats and resolution. Delays caused by incomplete or incorrect Client-provided materials may affect project timelines and costs.
Clients are responsible for reviewing and approving designs, proofs, and specifications before production begins. Once approval is given, changes may incur additional charges and timeline extensions. Nohoru is not liable for errors approved by the Client.
Unless explicitly agreed otherwise, Clients are responsible for obtaining all necessary permits, permissions, and approvals required for outdoor advertising installation in their jurisdiction. Nohoru can provide consultation and assistance as an additional service.
A non-refundable deposit of fifty percent (50%) of the total project cost is required before work commences. This deposit secures your project slot and covers initial material procurement.
The remaining balance is due upon project completion and before delivery or installation. For large-scale projects, milestone-based payment schedules may be established in the project agreement.
Invoices not paid within thirty (30) days of the due date may incur late payment fees of 1.5% per month. Nohoru reserves the right to suspend services and withhold delivery until outstanding payments are received.
Clients retain ownership of all content, logos, and materials provided to Nohoru. By submitting materials, Clients grant Nohoru a non-exclusive license to use such materials solely for the purpose of fulfilling the agreed services.
Original designs created by Nohoru remain the intellectual property of the Company until full payment is received. Upon complete payment, design rights transfer to the Client for the specific agreed-upon use. Nohoru retains the right to display completed projects in our portfolio unless otherwise agreed in writing.
Nohoru warrants that all services will be performed with professional skill and care using quality materials suitable for outdoor advertising applications. We guarantee our workmanship for a period of twelve (12) months from installation, covering defects in materials and workmanship under normal use conditions.
Nohoru's total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project in question. We are not liable for indirect, consequential, or special damages including lost profits or business interruption.
Nohoru shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or material shortages.
Project cancellations must be submitted in writing. Cancellations made before production begins will forfeit the initial deposit. If cancellation occurs after production has commenced, the Client is responsible for all costs incurred up to the cancellation date plus a twenty-five percent (25%) cancellation fee on remaining work.
When installation services are included, Nohoru will conduct site assessments and coordinate with relevant parties. Clients must ensure site accessibility and compliance with safety regulations. Additional charges may apply for difficult access locations or sites requiring special equipment.
Nohoru offers ongoing maintenance services for outdoor advertising installations. Maintenance agreements are available separately and include regular inspections, cleaning, and repairs. Damage caused by vandalism, extreme weather, or Client modifications is not covered under standard warranties.
Both parties agree to maintain confidentiality regarding proprietary information shared during the course of the business relationship. This obligation continues for three (3) years following project completion.
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Nohoru reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on our website with the revision date. Continued use of our services following any changes constitutes acceptance of the modified terms.
